MEDUCATEED — TERMS OF USE AND SERVICE AGREEMENT

IMPORTANT LEGAL NOTICE — PLEASE READ IN FULL BEFORE USING OUR SERVICES

These Terms of Use and Service Agreement ("Terms") constitute a legally binding contract between you and MeducateED. By accessing, registering for, or using any MeducateED Service — including browsing the platform, creating an account, purchasing a subscription, or accessing any content — you expressly acknowledge that you have read, understood, and irrevocably agreed to be bound by these Terms in their entirety. If you do not agree to any provision of these Terms, you must immediately cease all use of the Services and must not create an account or complete any purchase. Continued use of the Services at any time constitutes your ongoing acceptance of these Terms as they may be amended from time to time.


1. DEFINITIONS AND INTERPRETATION

1.1 The following definitions apply throughout this Agreement:

"Account" means the individual user profile created upon registration on the MeducateED platform, through which a User accesses the Services.

"Account Activation" means the moment at which MeducateED grants a User full access to the paid content, features, or modules associated with a purchased subscription or product. Activation is deemed to occur automatically and instantaneously upon MeducateED's system confirming and processing a completed payment transaction, regardless of whether the User has logged in, opened the application, or accessed any content. For the avoidance of doubt, activation is a system-side event, not a user-side action, and does not require any affirmative step by the User following payment confirmation.

"Affiliate Partner" or "Partner" means any individual, company, institution, or entity enrolled in the MeducateED Partnerships Program and operating under a duly executed Partnership Agreement.

"Agreement" means these Terms of Use and Service Agreement, together with the Privacy Policy, the Refund Policy set out in Section 11 hereof, and any other policies incorporated herein by reference, as amended from time to time.

"B2B Partner" or "Institutional Partner" means any educational institution, university, hospital, healthcare organization, or corporate entity that enters into a formal institutional access or collaborative agreement with MeducateED.

"Content" means all educational material, multimedia, text, data, illustrations, animations, videos, audio recordings, question banks, books, research publications, AI-generated materials, and any other material made available through the Services.

"Data Protection Laws" means all applicable laws and regulations governing the collection, storage, processing, and transfer of personal data in the Arab Republic of Egypt, including but not limited to Law No. 151 of 2020 on the Protection of Personal Data and its implementing regulations, as amended or supplemented from time to time.

"Device" means any computer, smartphone, tablet, or other electronic device through which a User accesses the Services.

"Egyptian Courts" means the competent civil and commercial courts of the Arab Republic of Egypt situated in the Giza Governorate.

"Free Preview Content" means the first portion of each paid product or module made available by MeducateED at no charge to all registered users, without requiring a subscription or purchase, for the express purpose of allowing prospective purchasers to evaluate the quality and suitability of a product prior to committing to any purchase.

"Intellectual Property Rights" means all patents, trademarks, service marks, trade names, copyright, moral rights, database rights, trade secrets, know-how, design rights, and all other intellectual and proprietary rights, whether registered or unregistered, subsisting anywhere in the world.

"Learning Management System" or "LMS" means MeducateED's proprietary digital platform and associated software applications through which educational content is organized, delivered, and tracked.

"MARJ" means the MeducateED Advanced Research Journal, MeducateED's peer-reviewed academic publication.

"MeducateED," "Company," "we," "us," or "our" refers to MeducateED, an educational technology enterprise registered in and operating under the laws of the Arab Republic of Egypt, with its principal place of business at 26th of July Corridor, First Al Sheikh Zayed, Giza Governorate, Egypt.

"MeducateED AI Gen" means MeducateED's artificial intelligence–powered resource generation and learning support module.

"MeducateED Books Series" means MeducateED's proprietary line of physical and digital academic publications, including but not limited to the MeducateED O6U IMP Book and all other university-specific or subject-specific publications produced under the MeducateED brand.

"MeducateED Open Library" means MeducateED's free, open-access digital repository of academic and scientific resources.

"Organization" means any educational institution, university, company, hospital, or entity that purchases or facilitates access to the Services on behalf of one or more Users under an institutional or organizational agreement.

"Payment Processor" means any third-party payment service provider engaged by MeducateED to process financial transactions, including PayPal and Stripe.

"Post-Launch Special Commission Reserved Edition" means a distinct, limited-run physical edition of a MeducateED Books Series publication that is made available for reservation exclusively after the standard commercial edition of the same title has already been formally published and made generally available, and for which the physical production materials are procured and commissioned specifically and solely on the basis of confirmed reservations, as more fully defined in Section 11.7(c).

"Prohibited Conduct" means the acts, omissions, and behaviors enumerated in Section 15 of these Terms.

"Scholarship Program" means MeducateED's structured financial assistance initiative, further described in Section 13 of these Terms.

"Services" means, collectively, all products, services, features, and functionalities offered by MeducateED, including but not limited to: digital educational courses; the MeducateED Books Series; Intensive Question Banks; the MeducateED AI Gen module; the MeducateED Open Library; the MARJ; the MeducateED Podcast ("Meducated Talks"); the MeducateED Blog; mobile applications (iOS and Android); the Learning Management System; the Partnerships Program; the Scholarship Program; and all associated websites, platforms, and digital infrastructure.

"Subscription" means a paid plan granting a User periodic or lifetime access to specified Content and features within the Services.

"User," "you," or "your" means any natural person who registers for, accesses, or uses the Services, including but not limited to students, educators, healthcare professionals, parents acting on behalf of minor dependents, and any other authorized individual.

"User Content" means any material, data, or information submitted, uploaded, or transmitted by a User through or in connection with the Services.

1.2 In these Terms, unless the context otherwise requires: (a) the singular includes the plural and vice versa; (b) headings are for convenience only and do not affect interpretation; (c) references to "including" are not limiting; and (d) references to "days" mean calendar days unless otherwise specified.


2. IDENTITY OF THE COMPANY AND GOVERNING JURISDICTION

2.1 MeducateED is an educational technology enterprise operating under the laws of the Arab Republic of Egypt. Its principal business address is: 26th of July Corridor, First Al Sheikh Zayed, Giza Governorate, Egypt. Contact email: info@meducateed.com. Contact telephone: +20 155 371 3741.

2.2 These Terms are governed by and shall be construed in accordance with the laws of the Arab Republic of Egypt. Any dispute, controversy, or claim arising out of or in relation to these Terms or the Services shall be subject to the exclusive jurisdiction of the competent courts of the Arab Republic of Egypt, situated in the Giza Governorate, and each party irrevocably submits to that jurisdiction.


3. ACCEPTANCE OF TERMS AND FORMATION OF AGREEMENT

3.1 This Agreement is formed, and becomes legally binding upon you, at the earliest of the following events: (a) your clicking of any "I Agree," "Accept," "Register," or similar button or checkbox on the platform; (b) your creation of an Account; (c) your completion of any purchase of a paid Service; or (d) your accessing or using any portion of the Services.

3.2 If you are accepting these Terms on behalf of an Organization, you represent and warrant that: (a) you have full legal authority and capacity to bind that Organization to this Agreement; (b) you have read and understood these Terms; and (c) you agree to these Terms on behalf of that Organization. If you do not have such authority, you must not accept these Terms and must not access or use the Services on behalf of the Organization.

3.3 These Terms, together with the Privacy Policy and any supplemental terms applicable to specific Services, constitute the entire agreement between you and MeducateED with respect to the subject matter hereof and supersede all prior and contemporaneous negotiations, discussions, representations, warranties, and agreements, whether oral or written, between you and MeducateED. No external terms, conditions, or documents submitted by any User or Organization shall modify or override this Agreement unless expressly agreed to in a separate written instrument duly executed by an authorized representative of MeducateED.

3.4 MeducateED reserves the right to decline access to the Services to any person or entity for any reason, in its sole discretion, without liability.


4. ELIGIBILITY AND CAPACITY

4.1 You must be at least eighteen (18) years of age to register for an Account, make any purchase, or use the Services independently. If you are under the age of eighteen (18), you may only use the Services with the express consent and active supervision of a parent or legal guardian who accepts these Terms on your behalf and assumes full responsibility for your use of the Services. By using the Services, you represent and warrant that you meet the applicable age requirements set forth in this section.

4.2 You represent and warrant that: (a) you have the full legal capacity to enter into a binding agreement; (b) your use of the Services does not violate any applicable law, regulation, or third-party agreement; and (c) all information you provide to MeducateED is accurate, truthful, and complete.

4.3 MeducateED's Services are intended for use by individuals enrolled in or preparing for accredited medical, dental, pharmacy, physiotherapy, nursing, or allied health programs, or by healthcare professionals seeking continuing education. MeducateED reserves the right to verify eligibility at any time and to suspend or terminate access where eligibility cannot be confirmed.

4.4 Users who access the Services from jurisdictions outside the Arab Republic of Egypt are solely responsible for compliance with all applicable local laws and regulations. MeducateED makes no representation that the Services are appropriate or legally available in all jurisdictions.


5. ACCOUNT REGISTRATION AND SECURITY

5.1 To access paid Services and certain features of the platform, you must create an Account by providing accurate, complete, and current information as requested during the registration process. You agree to maintain and promptly update your account information to ensure it remains accurate, complete, and current at all times.

5.2 You are solely responsible for maintaining the strict confidentiality of your Account credentials, including your username and password. You agree not to share, disclose, sell, or transfer your Account credentials to any third party under any circumstances whatsoever.

5.3 You are solely and fully responsible for all activities that occur under your Account, whether or not authorized by you. You must notify MeducateED immediately at info@meducateed.com upon becoming aware of any unauthorized access to, or use of, your Account or any security breach.

5.4 Each Account is strictly personal and non-transferable. You may not create multiple Accounts for the purpose of circumventing any restriction, accessing features to which you are not entitled, or abusing any free preview, promotional, or scholarship offer. MeducateED reserves the right to merge, suspend, or permanently delete duplicate or fraudulent Accounts without notice or liability.

5.5 MeducateED reserves the right to disable or suspend any Account at any time without prior notice if MeducateED has reasonable grounds to believe that any Account information is false, misleading, or in violation of these Terms.


6. DESCRIPTION OF SERVICES

6.1 Digital Courses. MeducateED offers expertly curated, studio-produced multimedia educational courses, produced through MeducateED's proprietary nine-step pedagogical production pipeline. Courses incorporate vectorized illustrations, three-dimensional anatomical animations, on-camera instructor sessions utilizing the Elsevier Complete Anatomy Atlas, multilingual captions, embedded quizzes, assignments, and supplementary study notes. All content undergoes independent quality assurance review prior to publication. Courses are hyper-localized to the precise examination formats and handout structures of the specific universities served by MeducateED.

6.2 MeducateED Books Series. MeducateED publishes a proprietary line of physical and digital academic books, including university-specific integrated medical program (IMP) publications. These publications are formatted in structured academic modules aligned with university pedagogical flows and are available for purchase separately or as part of bundled offerings.

6.3 Intensive Question Banks. MeducateED maintains a dynamically updated database of over fifteen thousand (15,000) examination-standard questions curated from verified past university examination papers. The question bank is designed to operationalize active recall and spaced repetition learning strategies and tracks longitudinal user performance metrics.

6.4 MeducateED AI Gen. MeducateED's artificial intelligence–powered module provides AI-assisted learning support features, which may include, without limitation, predictive performance analytics, personalized adaptive learning pathways, and generative study aids such as flashcards and clinical vignettes. All AI Gen outputs are educational in nature and are subject to the disclaimers set forth in Sections 17 and 18 of these Terms.

6.5 MeducateED Open Library. A free, open-access digital repository offering unrestricted access to a broad range of academic and scientific resources for registered and unregistered users alike.

6.6 MeducateED Advanced Research Journal (MARJ). An academic publication through which MeducateED publishes peer-reviewed scholarly research, clinical observations, and scientific advances in the medical and health sciences.

6.7 Podcast and Blog. MeducateED produces and distributes the "Meducated Talks" podcast, available on Spotify, Anghami, and other audio platforms, as well as the MeducateED Blog, providing supplementary educational content, study guidance, and platform updates.

6.8 Mobile Applications. Native mobile applications for iOS (Apple App Store) and Android (Google Play Store) through which Users may access the Services with full cloud synchronization.

6.9 Availability and Modifications. MeducateED endeavors to maintain consistent availability of the Services; however, the Company does not warrant uninterrupted or error-free operation. MeducateED reserves the right to modify, discontinue, suspend, or enhance any feature, module, or component of the Services at any time without prior notice, provided that such modifications do not materially and adversely affect active paid Subscriptions without reasonable notice to affected Users.


7. FREE PREVIEW CONTENT — TRIAL SUBSTITUTE POLICY

7.1 In lieu of offering a free trial subscription or a post-purchase trial period, MeducateED makes available, at no charge and without requiring a purchase, the first substantive portion of every paid product and module offered on the platform ("Free Preview Content"). This Free Preview Content is accessible to all registered Users and is specifically designed to allow prospective purchasers to fully evaluate the quality, depth, pedagogical style, localization accuracy, and suitability of any product before committing to a purchase.

7.2 By accessing Free Preview Content prior to any purchase, you expressly acknowledge and agree that: (a) you have been afforded a meaningful opportunity to evaluate MeducateED's products before purchasing; (b) any decision to purchase following your access of Free Preview Content constitutes a fully informed purchasing decision; and (c) your completion of a purchase after having had access to Free Preview Content is a knowing and voluntary acceptance of the product, irrespective of whether you actually accessed the Free Preview Content.

7.3 The availability of Free Preview Content is offered as a direct and reasonable substitute for a post-purchase refund period or free trial subscription. Users are strongly encouraged to fully utilize all available Free Preview Content before making any purchase decision. MeducateED bears no responsibility for any dissatisfaction arising from a failure to utilize the available Free Preview Content prior to purchasing.

7.4 The scope, duration, and content of the Free Preview are determined solely by MeducateED and may be modified at any time without notice, provided that a meaningful preview of each paid product remains available.


8. LICENSE GRANT AND RESTRICTIONS

8.1 License Grant. Subject to your full compliance with these Terms and timely payment of all applicable fees, MeducateED hereby grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services and Content solely for your own lawful, personal, non-commercial educational purposes for the duration of your active Subscription or the applicable access period.

8.2 Restrictions. You expressly agree that you will not, and will not permit, encourage, or assist any third party to:

(a) Copy, reproduce, record, download, capture, screen-record, screenshot, scrape, archive, or otherwise duplicate any Content in whole or in part by any means or in any format, whether for personal use or otherwise, unless expressly permitted by MeducateED in writing;

(b) Share, redistribute, publicly display, broadcast, transmit, upload, or make available any Content to any person other than yourself;

(c) Sell, resell, rent, lease, sublicense, transfer, assign, or otherwise commercially exploit any Content, Account, or access to the Services;

(d) Modify, adapt, translate, reverse-engineer, decompile, disassemble, or create derivative works from any Content, software, or component of the Services;

(e) Share, lend, sell, or otherwise disclose your Account credentials to any third party, or permit any third party to access the Services using your Account;

(f) Use any automated tool, bot, scraper, crawler, spider, or similar technology to access or extract data from the Services;

(g) Circumvent, disable, or tamper with any digital rights management, access control, copy protection, or security measure implemented by MeducateED;

(h) Frame, mirror, or embed any portion of the Services or Content on any third-party website, application, or platform without the prior written consent of MeducateED;

(i) Use the Services for any commercial purpose, including developing competing products or services;

(j) Remove, obscure, or alter any proprietary notice, watermark, trademark, or copyright indication appearing on or within the Services or any Content.

8.3 Any use of the Services or Content not expressly authorized by this Agreement is strictly prohibited and constitutes a material breach of these Terms.

8.4 MeducateED reserves the right to implement technical measures to enforce these restrictions, including digital watermarking, session monitoring, simultaneous login detection, and access logging. Evidence of prohibited conduct gathered through such monitoring may be used to enforce MeducateED's rights under this Agreement and applicable law.


9. INTELLECTUAL PROPERTY RIGHTS

9.1 All Content, software, technology, branding, and materials comprising or embodied in the Services — including but not limited to the proprietary nine-step pedagogical production pipeline, all produced videos, animations, three-dimensional anatomical illustrations, question bank databases, MeducateED Books, AI Gen outputs, the MARJ, the Open Library, course structures, platform architecture, user interface designs, logos, trademarks, service marks, and trade names — are the exclusive Intellectual Property of MeducateED and/or its licensors. All rights not expressly granted herein are reserved by MeducateED.

9.2 The MeducateED name, logo, and all associated trademarks, whether registered or unregistered, are the exclusive property of MeducateED. You are expressly prohibited from using any MeducateED trademark, service mark, trade name, or logo without the prior written consent of MeducateED.

9.3 Third-Party Content. The Services may incorporate or reference third-party content or tools, including but not limited to the Elsevier Complete Anatomy Atlas. All rights in third-party content remain with the respective owners. MeducateED's use of third-party tools is conducted under license, and no User acquires any rights in or to such third-party content through use of the Services.

9.4 User Content. Where the Services permit you to submit, upload, or post User Content (including but not limited to forum posts, comments, or contributions to the MARJ), you hereby grant MeducateED a perpetual, irrevocable, worldwide, royalty-free, non-exclusive license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with the operation and promotion of the Services. You represent and warrant that your User Content does not infringe any third-party rights and that you have all necessary rights to grant the foregoing license.

9.5 Any unauthorized use, reproduction, or distribution of MeducateED Intellectual Property may subject you to civil and criminal liability under Egyptian law and applicable international intellectual property law.


10. FEES, PAYMENTS, AND BILLING

10.1 Access to paid Services requires prior payment of the applicable fees displayed at the time of purchase. MeducateED's pricing is denominated in Egyptian Pounds (EGP) and/or United States Dollars (USD), as displayed on the platform. All prices are inclusive of applicable taxes unless otherwise stated.

10.2 Payments are processed through MeducateED's authorized Payment Processors, currently PayPal and Stripe. By completing a purchase, you agree to be bound by the terms and conditions of the applicable Payment Processor, and you acknowledge that MeducateED has no control over, and bears no liability for, the acts or omissions of any Payment Processor.

10.3 By submitting payment, you represent and warrant that: (a) the payment information you provide is accurate and complete; (b) you are authorized to use the payment method provided; and (c) you authorize MeducateED to charge the stated amount to your designated payment method.

10.4 All fees are stated and charged in the currency displayed at checkout. MeducateED bears no responsibility for any currency conversion fees, bank charges, or exchange rate fluctuations applied by your bank or payment provider.

10.5 MeducateED reserves the right to modify its fees and pricing at any time. Any price changes shall apply to purchases made after the effective date of such changes. Existing active Subscriptions shall not be subject to price increases during the current paid subscription period without reasonable advance notice to the affected User.

10.6 Failure to complete payment shall result in no access to paid Services. MeducateED reserves the right to suspend or terminate a Subscription in the event of a failed, reversed, or disputed payment.


11. REFUND POLICY

THIS SECTION CONSTITUTES THE COMPLETE AND EXCLUSIVE REFUND POLICY OF MEDUCATEED. IT APPLIES IN FULL TO ALL PURCHASES OF EVERY MEDUCATEED PRODUCT AND SERVICE WITHOUT EXCEPTION. BY COMPLETING ANY PURCHASE OF ANY MEDUCATEED PRODUCT OR SERVICE — WHETHER A DIGITAL SUBSCRIPTION, A PHYSICAL BOOK, A BUNDLE, OR ANY OTHER OFFERING — YOU AUTOMATICALLY, IRREVOCABLY, AND WITHOUT RESERVATION AGREE TO AND ACCEPT THIS REFUND POLICY IN ITS ENTIRETY. PLEASE READ THIS SECTION CAREFULLY BEFORE COMPLETING ANY PURCHASE.

11.1 No-Refund Default Rule. Subject only to the specific and narrowly defined exceptions set forth in Sections 11.2, 11.7, 11.8, and 11.9 of this Agreement, all sales of MeducateED paid products and Subscriptions are final and non-refundable. Once your Account has been Activated — as defined in Section 1.1 of these Terms — no refund shall be issued, under any circumstances, regardless of: (a) the amount paid; (b) the length of time elapsed since Activation; (c) the amount or proportion of Content accessed or used; (d) whether you logged in or engaged with any Content at all; (e) your subjective satisfaction or dissatisfaction with the Services; (f) a change in personal circumstances; (g) technical difficulties experienced on your personal Device or network; or (h) any other reason whatsoever, save as required by mandatory provisions of Egyptian law that cannot be contractually excluded.

11.2 Limited Pre-Activation Refund Window. The sole exception to the no-refund rule for digital products and Subscriptions is as follows: if you request a refund within twenty-four (24) hours of completing your purchase, and your Account has not yet been Activated at the time your refund request is received and processed by MeducateED, you may be eligible for a full refund of the fees paid. All refund requests must be submitted in writing to info@meducateed.com within the 24-hour window, clearly stating your Account details and the reason for the request. MeducateED will verify Account Activation status and, if the Account has not been Activated, will process the refund to the original payment method within a reasonable period, subject to Payment Processor processing times.

11.3 Activation is Instantaneous and System-Side. You expressly acknowledge and agree that, as defined in Section 1.1, Account Activation is an automatic system-side event that occurs at the moment MeducateED's system confirms your payment. Activation does not require any further action by you, including logging in, opening the app, or accessing any Content. The passage of even one (1) second following Activation closes the 24-hour refund window irrevocably if Activation has occurred. MeducateED bears no liability and accepts no claim arising from a User's failure to submit a timely refund request within the 24-hour pre-activation window.

11.4 Reasonableness and Justification of This Policy. This refund policy is fair, reasonable, and commercially justified for the following material reasons, which you expressly acknowledge by completing any purchase:

(a) Free Preview Content is universally available. Before purchasing any paid product or Subscription, MeducateED makes available, free of charge and without any purchase obligation, the first substantive portion of every product offered on the platform. This Free Preview Content provides a genuine and meaningful sample of MeducateED's pedagogical style, content quality, depth of localization, production standards, and platform interface.

(b) Informed purchasing is assured. A User who completes a purchase has therefore had prior access to a meaningful, representative sample of the exact product being purchased. Any decision to purchase is, by virtue of this policy, an informed and deliberate one. There is no basis for a claim of not knowing what was being purchased.

(c) Digital content is irrecoverable. Upon Activation, a User gains immediate and unrestricted access to the full paid product, including structured video content, question banks, and downloadable materials, the entirety of which is delivered instantaneously. Unlike a physical product, digital educational content cannot be "returned" once accessed or made accessible, and MeducateED suffers an immediate, irreversible loss upon Activation.

(d) No post-purchase trial period is offered, and this is disclosed upfront. MeducateED does not offer a post-purchase trial, money-back guarantee, or cooling-off period beyond the narrow pre-activation window in Section 11.2 and the specific Book-related provisions in Section 11.7. This policy is disclosed clearly and prominently before every purchase, and your completion of any purchase is an express waiver of any expectation of a post-activation refund not covered by the specific exceptions enumerated in this Section 11.

11.5 Chargebacks and Payment Disputes. Initiating a chargeback, payment reversal, or dispute through a Payment Processor or your bank in circumstances where you are not entitled to a refund under this Policy constitutes a material breach of this Agreement. In the event of any such unauthorized chargeback: (a) MeducateED reserves the right to immediately and permanently suspend or terminate your Account and all associated access; (b) MeducateED reserves the right to pursue recovery of the disputed amount plus any chargeback fees, administrative costs, and legal fees incurred; and (c) MeducateED reserves the right to report the matter to relevant authorities or credit reporting bodies. You acknowledge that the existence of a chargeback mechanism through a Payment Processor does not create or extend any entitlement to a refund not already provided under this Policy.

11.6 Technical Failures. If a User is unable to access the Services due to a verified, documented technical failure attributable solely to MeducateED's infrastructure — and not to the User's Device, internet connection, or third-party services — and such failure renders the Services entirely inaccessible for a sustained period, the User may contact MeducateED at info@meducateed.com to request a service credit or extension of the Subscription period. Such requests shall be evaluated by MeducateED at its sole reasonable discretion. This provision does not constitute a right to a monetary refund.

11.7 MeducateED Books Series — Physical Products.

(a) Standard Defect and Damage Refunds. Refund and return requests for physical publications in the MeducateED Books Series shall be evaluated on a case-by-case basis. Refunds for physical products may be considered only where the product received is demonstrably defective, damaged in transit, or materially different from what was ordered, and only where the User notifies MeducateED within five (5) days of receipt. Shipping costs associated with returns are borne by the User unless the return arises from MeducateED's error.

(b) Release Delay Refund Right — Standard Editions. Where a physical publication in the MeducateED Books Series is offered for advance purchase prior to its official publication date and MeducateED fails to dispatch the publication by the original release date communicated at the time of purchase, or within any revised delivery date subsequently communicated to the purchaser in writing, the purchaser shall be entitled to request a complete refund of all fees paid for that publication. Such refund requests must be submitted in writing to info@meducateed.com after the lapse of the originally stated release date without fulfillment. MeducateED shall process such refunds to the original payment method within a reasonable period, subject to Payment Processor processing times. For the avoidance of doubt, this right applies exclusively to standard advance-purchase orders and does not apply to Post-Launch Special Commission Reserved Editions as defined and governed by Section 11.7(c) below.

(c) Post-Launch Special Commission Reserved Editions — No-Refund Rule. Notwithstanding Section 11.7(b) and all other provisions of this Refund Policy, no refund shall be issued under any circumstances in respect of any purchase designated as a "Post-Launch Special Commission Reserved Edition."

A Post-Launch Special Commission Reserved Edition is a distinct, limited-run physical edition of a MeducateED publication that satisfies all of the following conditions:

(i) the standard commercial edition of the relevant title has already been formally published and made generally available for purchase prior to the opening of reservations for the Post-Launch Special Commission Reserved Edition;

(ii) the Post-Launch Special Commission Reserved Edition is offered for reservation exclusively after the launch of the standard edition and is clearly designated as a special reserved edition at the point of purchase;

(iii) the physical production materials for the Post-Launch Special Commission Reserved Edition — including but not limited to paper stock, binding materials, specialist printing substrates, cover finishes, and any bespoke packaging — are procured, commissioned, and contracted by MeducateED specifically and exclusively on the basis of confirmed reservations, meaning that the quantity of materials ordered directly corresponds to and is determined by the number of reservations received; and

(iv) the production and material commitment for such edition is therefore entirely demand-driven and non-recoverable — MeducateED incurs a binding, irreversible material cost at the moment each reservation is confirmed.

By placing a reservation for a Post-Launch Special Commission Reserved Edition, you expressly acknowledge and irrevocably agree that: (A) you have read and understood the definition and conditions set out in this Section 11.7(c); (B) your reservation triggers an immediate, binding, and non-reversible material procurement commitment by MeducateED that cannot be unwound regardless of circumstances; (C) no refund shall be issued with respect to a Post-Launch Special Commission Reserved Edition for any reason whatsoever, including but not limited to delay in production, change of personal circumstances, dissatisfaction with the product upon receipt, or any other cause; and (D) any refund claim, chargeback, or payment dispute initiated with respect to a Post-Launch Special Commission Reserved Edition shall be treated as a material breach of this Agreement and shall be subject to the full consequences set forth in Section 11.5.

MeducateED shall clearly and prominently disclose at the point of reservation whether a given edition is a Post-Launch Special Commission Reserved Edition. The presence of this designation on the product listing at the time of purchase constitutes sufficient and binding notice for the purposes of this clause, and no separate individual notification is required.

11.8 Scholarships. Scholarship grants are non-monetary, non-transferable, and non-refundable. No cash equivalent shall be payable in respect of any scholarship award.

11.9 MeducateED's Unilateral Right to Cancel and Refund. Notwithstanding any other provision of this Refund Policy or this Agreement, MeducateED reserves the absolute, unconditional, and unilateral right to cancel any active Subscription, any pending or fulfilled order, or access to any product or Service at any time, for any reason or for no reason, entirely at MeducateED's sole and exclusive discretion, including but not limited to reasons relating to: operational decisions; platform restructuring; product discontinuation; changes in curriculum; compliance requirements; quality assurance findings; commercial or editorial considerations; or any other internal reason that MeducateED elects not to disclose. In the event MeducateED exercises this right:

(a) MeducateED shall issue a complete refund of the fees paid by the affected User in respect of the cancelled Subscription or product, calculated on a pro-rata basis for any unused portion of a time-limited Subscription period, or as a full refund for any product or Subscription that has not been meaningfully delivered;

(b) The refund shall be issued to the original payment method used at the time of purchase, within a reasonable period subject to Payment Processor processing times;

(c) MeducateED shall notify the affected User of the cancellation and refund via the email address associated with their Account;

(d) The issuance of a complete refund under this Section 11.9 constitutes MeducateED's sole and complete obligation to the User in respect of the cancelled product or Subscription. No further compensation, damages, or claims shall be available to the User arising from a cancellation made under this Section; and

(e) MeducateED's exercise of this right does not constitute a breach of this Agreement. The User's sole remedy in the event of a MeducateED-initiated cancellation is the complete refund described above.

You expressly acknowledge and accept that MeducateED's reservation of this unilateral cancellation right is a material, known, and agreed term of this Agreement, and that by completing any purchase you accept the possibility — however remote — that MeducateED may exercise this right.

11.10 Automatic Agreement to This Refund Policy by Purchase. By completing the purchase of any MeducateED product or Service — regardless of the product type, the purchase amount, the payment method used, or the channel through which the purchase is made — you automatically, fully, and irrevocably agree to and accept every provision of this Refund Policy as set out in this Section 11, including all subsections, in its current form as at the date of purchase. No separate signature, acknowledgment checkbox, or confirmation step is required for this Agreement to take full legal effect. Your act of completing a purchase is, in and of itself, the legal act of agreement. No claim of unawareness of, or disagreement with, any provision of this Refund Policy shall be available to you following the completion of any purchase.


12. SUBSCRIPTION TERMS

12.1 A Subscription grants access to specified Content and features for the designated access period. Upon expiry of a Subscription period, access to paid Content will cease unless the Subscription is renewed.

12.2 MeducateED does not currently offer automatic recurring billing as a default. Where auto-renewal is offered as an optional feature, it will be clearly disclosed and require your express opt-in consent at the time of purchase. Users who opt in to auto-renewal may cancel future renewals by contacting MeducateED no less than forty-eight (48) hours before the scheduled renewal date.

12.3 Subscriptions are personal, non-transferable, and may not be shared between Users.


13. SCHOLARSHIP PROGRAM

13.1 MeducateED administers the MeducateED Scholarships Program, a structured financial assistance initiative with a dedicated fund exceeding USD 135,000 (or the EGP equivalent), designed to subsidize access to the Services for financially disadvantaged, academically meritorious, and specially designated students.

13.2 Scholarship categories currently include, but are not limited to: Financial Aid Scholarships, Merit-Based Scholarships, Memorial and Honorary Fellowships (including the Dr. Youssef Mohammed Abdelsattar Scholarship and the Dr. Hussam Abu Safiya Memorial Scholarship), the Quran Ijazah Scholarship, and the Fantasy Premier League Scholarship.

13.3 Scholarship awards are granted solely at MeducateED's discretion, based on the eligibility criteria published for each scholarship category from time to time. MeducateED reserves the right to modify, suspend, or discontinue any scholarship category at any time without prior notice.

13.4 Scholarship recipients must use awarded access solely for the personal educational purposes for which the scholarship was granted. Any misuse, transfer, resale, or abuse of a scholarship grant will result in immediate revocation of the award and may result in Account termination.

13.5 Scholarship grants confer no contractual entitlement on any applicant. Decisions made by MeducateED in relation to scholarship applications are final and not subject to appeal.


14. B2B PARTNERSHIP PROGRAM

14.1 MeducateED operates a formal Partnerships Program through which qualified Affiliate Partners and Institutional Partners may collaborate with MeducateED in the areas of revenue sharing, brand synergy, content co-creation, and mutual resource access.

14.2 Partnership applications are subject to a formal two-week internal review and approval process. No partnership relationship is established until a duly executed written Partnership Agreement has been signed by an authorized representative of MeducateED.

14.3 Affiliate Partners who are approved and actively enrolled in the program may receive a revenue share of up to ten percent (10%) of net subscription fees generated by Users referred by the Partner, for the duration of those Users' active Subscriptions, subject to the terms of the applicable Partnership Agreement.

14.4 Revenue share payments are subject to: (a) compliance with all terms of the applicable Partnership Agreement; (b) accurate and verifiable referral tracking; and (c) successful collection of the underlying subscription fees by MeducateED. MeducateED reserves the right to withhold, adjust, or claw back revenue share payments in cases of fraud, misrepresentation, violation of Partnership Agreement terms, or where underlying subscription fees are reversed or refunded.

14.5 Partners are expressly prohibited from making any misrepresentation about MeducateED's Services, scholarship programs, pricing, or any other matter in the course of their referral activities. Partners may not engage in any marketing conduct that would violate applicable advertising, consumer protection, or anti-spam laws.

14.6 The Partnership Program terms set forth herein are supplementary to, and do not replace, the specific terms of each executed Partnership Agreement.


15. PROHIBITED CONDUCT

15.1 In addition to the restrictions set forth in Section 8.2, you agree that you will not:

(a) Use the Services in any manner that violates any applicable local, national, or international law or regulation;

(b) Impersonate MeducateED, any MeducateED employee, instructor, or any other person or entity, or misrepresent your identity or affiliation;

(c) Transmit or upload any material that is unlawful, defamatory, obscene, offensive, threatening, abusive, harassing, or fraudulent;

(d) Engage in any form of academic dishonesty in connection with the Services, including but not limited to misrepresenting completed assessments, sharing examination answers with other students, or using the Services to assist others in cheating;

(e) Introduce any virus, malware, trojan horse, ransomware, denial-of-service attack, or other harmful or disruptive code or technology into or through the Services;

(f) Attempt to probe, scan, or test the vulnerability of the Services' systems or networks, or attempt to breach any security or authentication measures;

(g) Create or operate fictitious Accounts, or use the Services under a false identity;

(h) Engage in any conduct designed to manipulate reviews, ratings, scholarship applications, or any other system within the Services;

(i) Use the Services to develop, train, or improve any artificial intelligence or machine learning model, or to create any competing product or service;

(j) Use the Services in any way that could damage, disable, overburden, or impair MeducateED's infrastructure or interfere with any other user's enjoyment of the Services.

15.2 Violation of any provision of this Section constitutes a material breach of this Agreement and may result in immediate suspension or termination of your Account, without refund, and may expose you to civil and criminal liability.


16. ACADEMIC INTEGRITY

16.1 MeducateED's Services are designed exclusively to support legitimate, good-faith academic study. Users are required to engage with all assessments, question banks, and academic activities on the platform with full honesty and academic integrity.

16.2 The Content and question banks provided on the platform are proprietary educational resources. Users are strictly prohibited from distributing, publishing, or sharing examination questions, answers, or any other assessment material obtained through the platform.

16.3 MeducateED assumes no responsibility for any academic sanctions, disciplinary action, or legal consequences arising from a User's misuse of the Services in violation of their university's academic integrity policies.


17. DISCLAIMER OF MEDICAL AND CLINICAL ADVICE

17.1 IMPORTANT NOTICE. All Content available through MeducateED's Services — including but not limited to video lectures, course modules, question banks, AI Gen outputs, Open Library resources, MARJ publications, podcast content, and blog posts — is provided exclusively for general educational and academic study purposes. The Content is designed to support and supplement formal medical education. It does not constitute, and must not be treated as, professional medical advice, clinical diagnosis, medical treatment recommendations, or a substitute for professional clinical judgment.

17.2 MeducateED is an educational technology company, not a licensed medical institution or healthcare provider. None of the Content on the platform should be relied upon for any clinical, diagnostic, or treatment decision. Any such reliance is entirely at the User's own risk, and MeducateED expressly disclaims all liability arising from any such reliance.

17.3 AI Gen Content. Content generated by MeducateED AI Gen is produced by artificial intelligence systems and is subject to inherent limitations, including the potential for inaccuracy, incompleteness, or outdated information. AI Gen outputs are provided as study aids only and must be independently verified against authoritative clinical sources before any reliance thereon in any professional or clinical context.

17.4 Users who are qualified healthcare professionals using the Services for continuing professional development are advised that the Content does not replace current clinical guidelines, evidence-based protocols, or the professional judgment required in individual patient care.


18. DISCLAIMER OF WARRANTIES

18.1 THE SERVICES AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MEDUCATEED EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AND UNINTERRUPTED AVAILABILITY.

18.2 MEDUCATEED DOES NOT WARRANT THAT: (a) THE SERVICES WILL MEET YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS; (b) THE SERVICES WILL BE AVAILABLE WITHOUT INTERRUPTION, ERROR, OR DELAY; (c) ANY ERRORS OR DEFECTS IN THE SERVICES WILL BE CORRECTED; (d) THE SERVICES OR THE SERVERS THROUGH WHICH THEY ARE DELIVERED ARE FREE FROM VIRUSES OR HARMFUL COMPONENTS; OR (e) ACCESS TO THE SERVICES WILL IMPROVE YOUR ACADEMIC PERFORMANCE, EXAMINATION RESULTS, OR PROFESSIONAL OUTCOMES.

18.3 MeducateED makes reasonable efforts to ensure the clinical accuracy of its Content through its Quality Assurance process; however, medical science is continuously evolving, and MeducateED does not warrant that any specific piece of Content reflects the most current clinical guidelines or research at any given point in time.


19. LIMITATION OF LIABILITY

19.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MEDUCATEED, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, INSTRUCTORS, CONTRACTORS, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF — OR INABILITY TO ACCESS OR USE — THE SERVICES OR ANY CONTENT, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, ACADEMIC FAILURE, BUSINESS INTERRUPTION, OR ANY OTHER INTANGIBLE LOSS, EVEN IF MEDUCATEED HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

19.2 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MEDUCATEED'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICES — WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR OTHERWISE — SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO MEDUCATEED IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

19.3 The limitations set forth in this Section apply to the fullest extent permitted by applicable Egyptian law and shall survive termination or expiration of this Agreement.


20. INDEMNIFICATION

20.1 You agree to defend, indemnify, and hold harmless MeducateED and its directors, officers, employees, agents, instructors, licensors, and partners from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use or misuse of the Services; (b) your violation of any provision of this Agreement; (c) your violation of any applicable law or regulation; (d) your violation of any third-party rights, including Intellectual Property Rights; (e) any User Content you submit; or (f) any misrepresentation made by you.

20.2 MeducateED reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you shall cooperate fully with MeducateED.


21. FORCE MAJEURE

21.1 MeducateED shall not be liable for any delay or failure to perform its obligations under this Agreement where such delay or failure is caused by circumstances beyond MeducateED's reasonable control ("Force Majeure Events"), including but not limited to: acts of God, natural disasters, war, armed conflict, geopolitical crises, government orders, civil unrest, terrorism, epidemic, pandemic, power outages, telecommunications failures, cyberattacks by third parties, or failure of third-party service providers.

21.2 In the event of a Force Majeure Event, MeducateED shall notify Users as soon as reasonably practicable and shall use reasonable efforts to restore Services. Any Subscription period affected by a sustained, material Force Majeure Event may, at MeducateED's sole discretion, be extended by a commensurate period.


22. THIRD-PARTY SERVICES AND LINKS

22.1 The Services may contain links to, or integrate with, third-party websites, platforms, applications, or services, including but not limited to Payment Processors (PayPal and Stripe), the Apple App Store, Google Play Store, Spotify, Anghami, LinkedIn, Instagram, Facebook, TikTok, and the Elsevier Complete Anatomy platform. MeducateED provides these links and integrations as a convenience and does not endorse, control, or assume responsibility for any third-party service, website, or content.

22.2 Your use of any third-party service is governed solely by the terms and conditions and privacy policies of that third party. MeducateED expressly disclaims all liability arising from your use of any third-party service.

22.3 MeducateED's use of the Elsevier Complete Anatomy Atlas and any other third-party educational tools within its instructional content is conducted under appropriate license arrangements. Users acquire no license or rights in respect of such third-party tools through their use of MeducateED's Services.


23. TERMINATION AND SUSPENSION

23.1 Termination by MeducateED. MeducateED reserves the right, in its sole discretion, to immediately suspend or permanently terminate your Account and access to the Services — without prior notice and without liability — upon the occurrence of any of the following: (a) your breach of any provision of this Agreement; (b) your engagement in any Prohibited Conduct; (c) fraudulent, misleading, or unlawful activity in connection with the Services; (d) your initiation of an unauthorized chargeback or payment dispute; (e) failure to pay any applicable fees; or (f) any other reason that MeducateED reasonably determines warrants suspension or termination.

23.2 Effect of Termination. Upon any termination — whether initiated by MeducateED or by you — the following consequences apply: (a) your license to access the Services ceases immediately; (b) you must immediately cease all access to and use of the Services; (c) all outstanding obligations under this Agreement survive termination, including Sections 9, 11, 17, 18, 19, 20, and 25; and (d) no refund shall be issued upon termination for cause, save as required by mandatory Egyptian law.

23.3 Termination by User. You may terminate your Account at any time by contacting MeducateED at info@meducateed.com. Such termination does not entitle you to any refund of fees paid, in accordance with Section 11.


24. DATA PROTECTION

24.1 MeducateED's collection, use, storage, and processing of personal data in connection with the Services is governed by MeducateED's Privacy Policy, which is incorporated into these Terms by reference and constitutes an integral part of this Agreement. The Privacy Policy is available at [MeducateED website URL].

24.2 By accepting these Terms, you acknowledge and consent to the collection and processing of your personal data in accordance with the Privacy Policy.

24.3 Where MeducateED processes User Data on behalf of an Organization, MeducateED acts as a data processor, and the Organization acts as the data controller, subject to a data processing addendum to be executed as part of the institutional agreement.


25. CONFIDENTIALITY

25.1 Each party agrees to maintain in strict confidence all non-public, proprietary, or commercially sensitive information disclosed by the other party in connection with this Agreement, and not to disclose such information to any third party without the prior written consent of the disclosing party, save as required by law.

25.2 This obligation of confidentiality does not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was independently known by the receiving party prior to disclosure; or (c) is required to be disclosed by law, court order, or regulatory authority, provided that the disclosing party is given reasonable prior notice.


26. AMENDMENTS TO THESE TERMS

26.1 MeducateED reserves the right to amend, update, or replace these Terms at any time at its sole discretion. The most current version of the Terms shall be posted on the MeducateED website and platform, together with the updated effective date.

26.2 Where an amendment materially adversely affects your rights or obligations under these Terms, MeducateED shall notify you by email or prominent platform notification no less than fourteen (14) days prior to the effective date of such amendment.

26.3 Your continued access to or use of the Services following the effective date of any amendment constitutes your irrevocable acceptance of the amended Terms. If you do not agree to the amended Terms, you must cease use of the Services before the effective date of the amendment.


27. GENERAL PROVISIONS

27.1 Entire Agreement. This Agreement, together with the Privacy Policy and any applicable Partnership Agreement or Institutional Agreement, constitutes the entire agreement between you and MeducateED with respect to the Services and supersedes all prior negotiations, representations, warranties, and agreements.

27.2 Severability. If any provision of this Agreement is found by a court or arbitral body of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions shall continue in full force and effect.

27.3 Waiver. No failure or delay by MeducateED in exercising any right, power, or remedy under this Agreement shall operate as a waiver of that right, power, or remedy. A waiver of any particular breach does not constitute a waiver of any subsequent breach.

27.4 Assignment. You may not assign, transfer, novate, or delegate any of your rights or obligations under this Agreement, in whole or in part, without MeducateED's prior written consent. MeducateED may assign this Agreement, in whole or in part, to any affiliate, successor, or acquirer without notice to or consent from you.

27.5 Notices. All notices, requests, or communications required or permitted under this Agreement shall be in writing and directed to info@meducateed.com (for notices to MeducateED) or to the email address associated with your Account (for notices to you). Notices shall be deemed received on the day of transmission if transmitted electronically before 5:00 PM Cairo time on a business day, or on the next business day if transmitted after that time.

27.6 Language. This Agreement is executed in the English language. In the event of any inconsistency between an English version and any translated version, the English version shall prevail.

27.7 No Partnership or Agency. Nothing in this Agreement shall be construed to create any partnership, joint venture, agency, employment, or fiduciary relationship between you and MeducateED.


28. GOVERNING LAW AND DISPUTE RESOLUTION

28.1 This Agreement, and all non-contractual obligations arising out of or in connection with it, shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt, without regard to its conflict of law principles.

28.2 Any dispute, controversy, or claim arising out of or relating to this Agreement, or its breach, termination, or validity, shall first be subject to good-faith negotiation between the parties for a period of thirty (30) days from the date one party notifies the other in writing of the dispute.

28.3 If the dispute is not resolved through negotiation within the thirty (30) day period, it shall be submitted to the exclusive jurisdiction of the competent courts of the Arab Republic of Egypt situated in the Giza Governorate, and each party hereby irrevocably submits to the personal jurisdiction of such courts.

30. THE DESKTOP APPLICATION — SEPARATE PRODUCT TERMS

30.1 Architecture Distinction. MeducateED operates two distinct but complementary products that share a single brand: (a) the MeducateED website (meducateed.com), which serves as the institutional presence, storefront, community hub, research portal, and marketing environment; and (b) the Desktop Application, which is the standalone, downloadable course-learning environment through which all paid course content, the interactive question bank, AI Gen personalization, offline mode, and the full anatomical atlas are accessed. These are separate products that do not share a codebase or a user interface.

30.2 Enrollment and Download Flow. Enrollment, account registration, payment, and subscription management are completed exclusively through the MeducateED website. Upon successful enrollment and Account Activation, the User is directed to the designated download gateway (support/downloads.php) to download the Desktop Application installer. Access to the Desktop Application is conditional upon the User holding an active, paid Subscription and a valid, active Student ID. MeducateED reserves the right to verify enrollment status server-side before serving any installer download.

30.3 Supported Platforms and System Requirements. The Desktop Application is available for Windows, macOS, and Linux operating systems. MeducateED will publish minimum and recommended system requirements on the download gateway page. MeducateED does not warrant that the Desktop Application will function on all hardware configurations or operating system versions, and expressly disclaims liability for any incompatibility between the Desktop Application and a User's Device or operating system. It is the User's responsibility to verify system compatibility before purchasing.

30.4 Installer Integrity. Desktop Application installer binaries are distributed exclusively through MeducateED's official download gateway. MeducateED strongly advises Users never to download the Desktop Application from any source other than meducateed.com. MeducateED bears no liability for any damage, data loss, or security compromise arising from the installation of an application purporting to be the MeducateED Desktop Application obtained from any unauthorized source.

30.5 Offline Mode. The Desktop Application includes an offline mode feature that permits Users to access certain pre-downloaded content without an active internet connection. Offline access is subject to periodic online re-authentication to verify subscription validity. MeducateED reserves the right to adjust, restrict, or discontinue offline mode at any time. The availability of offline mode does not alter or affect MeducateED's Refund Policy in any respect.

30.6 Updates and Version Management. MeducateED may release updates, patches, and new versions of the Desktop Application from time to time. Continued use of the Desktop Application may require installation of updates. MeducateED reserves the right to discontinue support for older versions of the Desktop Application, and Users on unsupported versions may lose access to certain features or content.

30.7 Mobile Applications. MeducateED also provides native mobile applications for iOS (Apple App Store) and Android (Google Play Store). Mobile applications provide access to the Services as described on the respective app store listing and as may be updated from time to time. Use of the mobile applications is subject to the additional terms of the relevant app store.


31. STUDENT ID — TERMS OF USE AND ANTI-PIRACY WATERMARKING

31.1 Issuance. Upon successful account registration, MeducateED's system automatically generates and assigns a unique Student ID to each User in the format MED-YYYY-XXXXXXX. The Student ID is permanent, non-transferable, and uniquely associated with the registering individual's Account. The Student ID is delivered to the User's registered email address and serves as a core authentication and security credential.

31.2 Authentication. The Student ID is required to access Student ID-gated content, including but not limited to the Skeuomorphic Book Viewer (for free first-chapter previews) and any Slide+ content designated as Student ID-restricted. A User may not share, lend, sell, or disclose their Student ID to any third party for any purpose.

31.3 Digital Watermarking — Anti-Piracy Mechanism. MeducateED applies each User's unique Student ID as a persistent, translucent, repeating diagonal watermark across every page of content accessed through the Skeuomorphic Book Viewer and every page of Slide+ content accessed through the platform. This watermark is: (a) technically implemented as a CSS-based overlay on every rendered content page; (b) visually present at all times during content access; (c) sufficiently prominent to be traceable if any content is screenshotted, photographed, screen-recorded, or otherwise captured and redistributed.

31.4 Consequences of Watermark Misuse. If MeducateED identifies any content bearing a User's Student ID watermark circulating outside the MeducateED platform without authorization — whether through social media, file-sharing services, messaging applications, or any other channel — that User shall be deemed to be in material breach of this Agreement. MeducateED reserves the right, without limitation, to: (a) immediately and permanently suspend or terminate the User's Account without refund; (b) pursue civil damages for copyright infringement and breach of contract under Egyptian law; (c) report the matter to relevant authorities; and (d) pursue any other remedy available at law or equity. The presence of a Student ID watermark on shared content constitutes prima facie evidence linking that breach to the holder of the relevant Student ID.

31.5 Lost or Compromised Student ID. If a User believes their Student ID has been disclosed to, or used by, any unauthorized party, they must notify MeducateED immediately at info@meducateed.com. MeducateED will investigate and may, at its discretion, issue a replacement Student ID. MeducateED bears no liability for any use of a Student ID by an unauthorized party prior to notification.


32. CORVUS AI ASSISTANT — TERMS OF USE

32.1 Nature of Service. Corvus is MeducateED's on-site AI-powered institutional concierge, accessible via a persistent widget on all public MeducateED website pages. Corvus is designed to provide informational responses about MeducateED's programmes, scholarship eligibility, enrollment procedures, the Open Library, platform features, and general academic support routing. Corvus functions as an intelligent first-response tool and is not a substitute for MeducateED's Academic Support team.

32.2 Third-Party AI Infrastructure. Corvus operates through a MeducateED-controlled server-side API proxy connected to one or more third-party large language model services, which may include OpenAI GPT models and/or Anthropic Claude models ("Third-Party AI Providers"). By using Corvus, you acknowledge and agree that: (a) your conversation inputs are transmitted to MeducateED's server-side proxy, which forwards them to the applicable Third-Party AI Provider for response generation; (b) Third-Party AI Providers process your inputs subject to their own privacy policies and terms of service; (c) MeducateED does not control the internal operations of Third-Party AI Providers; and (d) MeducateED implements technical measures to strip personally identifiable information from conversation logs before any diagnostic storage.

32.3 Rate Limiting. Corvus is subject to a rate limit of thirty (30) messages per IP address per hour, enforced server-side. This limit is implemented to ensure fair access and to prevent abuse of the system. Users who exceed this limit may be temporarily unable to interact with Corvus. MeducateED reserves the right to adjust rate limits at any time without notice.

32.4 Scope Limitations and No Clinical Advice. Corvus is designed and instructed to respond exclusively within the scope of MeducateED's institutional knowledge base. Corvus is expressly prohibited from providing any clinical medical advice, diagnostic guidance, treatment recommendations, pharmaceutical information, or any patient-facing medical content. Any response by Corvus that could be interpreted as clinical guidance is outside Corvus's intended scope, constitutes an error, and must not be relied upon. MeducateED bears no liability for any reliance on Corvus outputs.

32.5 Accuracy Limitations. Corvus's responses are generated by AI and are subject to inherent limitations, including potential inaccuracy, misinterpretation of queries, outdated information, and hallucination. All Corvus responses are informational only. For authoritative information on pricing, scholarship eligibility, enrollment, and other matters, Users should verify information directly with MeducateED's Academic Support team at info@meducateed.com.

32.6 No Persistent Storage of Conversations. Corvus conversation history is maintained in the User's browser session storage for the duration of a single browsing session. Conversation history is not retained by MeducateED beyond the session, except where limited diagnostic logs are stored in a de-identified form for performance monitoring purposes, as further described in the Privacy Policy.

32.7 Prohibited Corvus Interactions. Users must not: (a) attempt to manipulate, jailbreak, or override Corvus's operational instructions or system prompt; (b) use Corvus to extract confidential information about MeducateED's internal systems, operations, or proprietary content; (c) submit inputs containing personal data of third parties; (d) use Corvus in any manner designed to circumvent security measures or access restrictions; or (e) use Corvus for any purpose that violates applicable law.


33. SKEUOMORPHIC BOOK VIEWER AND SLIDE+ CONTENT

33.1 Book Viewer Access. The Skeuomorphic Book Viewer provides access to the free first chapter of each MeducateED Book in the Books Series. Access to the Book Viewer requires: (a) a valid, active MeducateED Account; and (b) authentication with the User's Student ID. The Book Viewer is not accessible without a valid Student ID, regardless of whether the User holds a paid Subscription.

33.2 Watermarking in Book Viewer. Every page rendered within the Skeuomorphic Book Viewer bears the accessing User's Student ID as a persistent digital watermark. The watermark is applied at the point of rendering and is present on every page displayed, including but not limited to text pages, illustration pages, and anatomical diagrams.

33.3 End of Chapter — Full Access. The final pages of the free preview in the Book Viewer transition to a restricted view, where content beyond the free chapter is presented in a visually obscured state. The obscured content is not fully loaded in the browser, and MeducateED implements technical measures to prevent extraction of content beyond the free chapter boundary.

33.4 Slide+ Content Access. Access to Slide+ lecture presentations is subject to the access level designated by MeducateED for each Slide+ file, which may range from free access (requiring only a valid Account) to restricted access (requiring Student ID authentication and/or a paid Subscription). Student ID watermarks are applied to Slide+ content where Student ID authentication is required.

33.5 Prohibition on Content Capture. Users are strictly prohibited from capturing, reproducing, or distributing any content viewed through the Skeuomorphic Book Viewer or Slide+ viewer by any means, including but not limited to screen recording, screenshotting, photographing a device screen, printing, copying HTML source code, or any other method of duplication. Any such capture constitutes a breach of Section 8.2 and Section 15 of this Agreement and may trigger the consequences described in Section 31.4.


34. DISASTER TRACKER — INFORMATIONAL TOOL

34.1 MeducateED operates a real-time global natural disaster and event tracker ("Disaster Tracker") powered by NASA's Earth Observatory Natural Event Tracker API (EONET), accessible at disasters/index.php on the MeducateED website. The Disaster Tracker is provided as a public informational resource for medical students and healthcare professionals to monitor active natural events globally.

34.2 NASA Attribution. Event data displayed on the Disaster Tracker is sourced from NASA EONET (https://eonet.gsfc.nasa.gov/). All data is attributed to NASA and is governed by NASA's open data terms of use. MeducateED does not own, control, or verify the accuracy of NASA EONET data and makes no representation regarding its completeness or timeliness.

34.3 Informational Purposes Only. The Disaster Tracker is provided strictly for informational, educational, and awareness purposes. It does not constitute: (a) professional emergency management advice; (b) guidance on medical or humanitarian deployment decisions; (c) real-time safety or evacuation guidance; or (d) a substitute for official communications from government authorities, emergency services, or international humanitarian organizations. Users must not rely on the Disaster Tracker for any emergency response, safety, or clinical decision-making purpose.

34.4 Geolocation Data. The Disaster Tracker includes an optional "Locate Me" feature that uses the User's browser Geolocation API to center the map on the User's geographic location. Geolocation data collected through this feature is used solely to center the map display and is not stored, transmitted to MeducateED's servers, or associated with the User's Account.

34.5 Data Currency. Disaster Tracker data is cached server-side at intervals of approximately fifteen (15) minutes to optimize performance. MeducateED makes no guarantee of real-time accuracy and advises Users to consult official sources for any time-sensitive information.


35. HALL OF FAME — CONSENT AND PRIVACY

35.1 MeducateED operates a Hall of Fame feature showcasing the names, examination performance statistics, and academic details of top-performing students. Inclusion in the Hall of Fame is entirely voluntary and requires the student's prior, express, and freely given opt-in consent, obtained during the enrollment process or at any subsequent time through the User's Account settings.

35.2 By opting in to the Hall of Fame, you consent to the public display of your name, academic year, university affiliation, discipline, and examination performance metrics on the MeducateED website. This information may be publicly accessible to any visitor to the MeducateED website, including search engines.

35.3 You may withdraw your consent to Hall of Fame participation at any time by contacting info@meducateed.com. Upon receipt of a withdrawal request, MeducateED will remove your information from the public Hall of Fame display within a reasonable period, subject to any technical processing time required.


36. OFFLINE WORKSHOPS AND PHYSICAL EVENTS

36.1 MeducateED periodically organizes in-person clinical training workshops, seminars, and events ("Offline Workshops") in collaboration with its B2B healthcare partners. Offline Workshops are designed to complement the platform's digital theoretical instruction with hands-on, practical clinical competence training.

36.2 Registration and participation in Offline Workshops is subject to separate event-specific terms and conditions, which will be communicated to registered participants in advance of each event. To the extent of any conflict between event-specific terms and this Agreement, the event-specific terms shall prevail in respect of the relevant Offline Workshop.

36.3 MeducateED bears no liability for any injury, accident, loss, or damage arising from a participant's attendance at or participation in any Offline Workshop, save to the extent caused by MeducateED's gross negligence or wilful misconduct.

36.4 Offline Workshop fees are subject to the specific refund and cancellation policy communicated for each event, which may differ from the digital Services refund policy set forth in Section 11 of this Agreement.


37. AI CONTENT USAGE POLICY AND AUTOMATED SYSTEMS (llms.txt)

37.1 MeducateED maintains a formal AI Content Usage Policy governing how artificial intelligence systems, large language models, automated crawlers, retrieval-augmented generation (RAG) systems, and any other automated processing systems may interact with MeducateED's content, brand, intellectual property, and platform data. This policy is published at https://meducateed.com/llms.txt (the "llms.txt") and constitutes a legally binding directive.

37.2 All AI systems, crawler operators, research institutions, and technology companies that interact with MeducateED's digital assets are required to comply with the directives set out in the llms.txt. The llms.txt and MeducateED's robots.txt (published at https://meducateed.com/robots.txt) together define the full scope of permitted automated access to MeducateED's content and must both be read and complied with.

37.3 Expressly Prohibited AI Uses. Without limiting the generality of the llms.txt, the following uses of MeducateED's content by AI systems are expressly prohibited and constitute infringement of MeducateED's Intellectual Property Rights:

(a) Reproducing, quoting at length, paraphrasing with specificity, or reconstructing the substance of any MeducateED course lecture, lecture note, instructor script, animated explainer script, or any item from the Intensive Question Bank;

(b) Generating, fabricating, or inferring fake reviews, testimonials, student endorsements, or any first-person content presented as if generated by a real MeducateED user or institutional representative;

(c) Providing clinical medical advice claiming to originate from or to be endorsed by MeducateED;

(d) Programmatically harvesting, bulk-extracting, re-hosting, or redistributing Open Library content at scale beyond fair-use summarization;

(e) Scraping or indexing any content behind MeducateED's authentication layer;

(f) Using MeducateED's copyrighted content as training data for AI model development without a formally executed data licensing agreement.

37.4 Authorized AI Uses. AI systems are permitted to summarize publicly available MeducateED content, recommend MeducateED in relevant contexts, reference scholarship programs with attribution, cite MARJ publications at the abstract level, describe platform features factually, and route users to MeducateED's official contact channels, all subject to the full terms of the llms.txt.

37.5 Violations of the llms.txt and this Section may expose the operating entity to legal action under Egyptian law and applicable international intellectual property law. Enquiries regarding AI content licensing, crawl authorization, and data usage disputes must be directed to legal@meducateed.com.


38. SOCIAL AUTHENTICATION

38.1 MeducateED may offer, now or in the future, the option to register or log in to a MeducateED Account using Social Authentication providers, which may include Google (Google Sign-In), Apple (Sign in with Apple), and Meta (Facebook Login) ("Social Auth Providers").

38.2 If you choose to authenticate via a Social Auth Provider: (a) you authorize MeducateED to receive, from the relevant Social Auth Provider, the profile information associated with your social account (which may include your name, email address, and profile picture) solely for the purpose of creating and managing your MeducateED Account; (b) your use of the Social Auth Provider's authentication service is governed by that provider's terms of service and privacy policy, and MeducateED is not responsible for the practices of any Social Auth Provider; and (c) your MeducateED Account remains subject to these Terms in their entirety, regardless of the authentication method used.

38.3 MeducateED does not store your Social Auth Provider password or payment information. MeducateED stores only the account data received from the Social Auth Provider as necessary for Account creation and management, as further described in the Privacy Policy.

38.4 Disconnecting your Social Auth Provider from your MeducateED Account does not delete your MeducateED Account or any data associated with it. You may contact info@meducateed.com to request account deletion, subject to the data retention provisions of the Privacy Policy.


39. UPCOMING AND FUTURE FEATURES

39.1 MeducateED is actively developing and plans to release a number of additional features, products, and disciplines in the near and medium term, including but not limited to: curricula for Dentistry, Pharmacy, Physiotherapy, and Nursing; a gamified virtual Pixel Campus; a No-Budgetia financial planning tool; MENA regional expansion into Saudi Arabia, UAE, Jordan, Libya, Morocco, and Tunisia; and additional Offline Workshop programs.

39.2 All future features and products, when released, will be governed by these Terms (as they may be amended at that time) and any supplemental terms communicated at the time of release. No forward-looking statement in any MeducateED communication, including this Agreement, constitutes a guarantee or warranty that any future feature or product will be released within any particular timeframe or at all.

39.3 Early access to, or beta testing of, any future feature may be offered to selected Users subject to additional terms to be communicated at that time. MeducateED reserves the right to discontinue, modify, or commercially release any feature previously offered in beta form, without obligation to maintain beta feature availability.


40. VERSIONING OF LEGAL DOCUMENTS

40.1 MeducateED maintains a version-controlled record of all prior versions of these Terms and the Privacy Policy, stored in its administrative system. Each revision is archived with a timestamp and is never permanently deleted. MeducateED's legal administration team may restore any prior version of a legal document at any time.

40.2 The version of these Terms governing any dispute or claim is the version that was in force at the time the relevant event giving rise to the dispute or claim occurred. Users are encouraged to record the effective date of these Terms at the time of any significant transaction or action on the platform.

40.3 MeducateED publishes the current effective date and last updated date of these Terms at the top of this document. Three modes of date display may be used: automatic (reflecting the actual date of the most recent substantive revision), a custom date set by MeducateED's legal team, or no date (where MeducateED determines omission is appropriate). In all cases, the archived version history maintained by MeducateED constitutes the authoritative record of all revisions.

By accessing, registering for, purchasing, or using any MeducateED Service, you confirm that you have read, understood, and irrevocably agreed to be bound by these Terms of Use and Service Agreement in their entirety.
